COLLECTLY TERMS OF SERVICE
These Terms of Service ("Terms") govern your access to and use of Collectly, including its website, mobile applications, APIs, and related services (collectively, the "Platform"), operated by Fixia Limited ("Collectly", "we", "us", or "our").
By accessing or using the Platform, you agree to be legally bound by these Terms. If you do not agree to these Terms, you must not use the Platform.
1. DEFINITIONS
- Platform means the Collectly website, mobile applications, APIs, and related services.
- Business means a User who creates a workspace to issue invoices and collect payments.
- Customer means an individual or entity who receives an invoice through the Platform.
- Invoice means a request for payment created and sent by a Business through the Platform.
- Content means any text, logos, invoices, receipts, messages, or other materials uploaded or shared on the Platform.
2. ELIGIBILITY
By using the Platform, you confirm that you are at least 18 years old, have the legal capacity to enter into binding agreements, will provide accurate and complete information, and will comply with all applicable laws. We may suspend or terminate access for Users who fail to meet these requirements.
3. ACCOUNT REGISTRATION
Certain features require account registration. You are responsible for maintaining the confidentiality of your login credentials and for all activity conducted under your account, and must notify us immediately of any unauthorized access.
4. ROLE OF COLLECTLY
Collectly is invoicing and payment-collection software. Collectly:
- Does not hold, custody, or take ownership of any funds exchanged between a Business and its Customers.
- Is not a party to any underlying transaction, sale of goods, or provision of services that an invoice relates to.
- Does not guarantee that a Customer will pay an invoice, or that a Business's goods or services meet any particular standard.
- Relies on third-party payment processors (including Paystack) to process online payments; bank transfers and offline payments are between the Business and Customer directly.
5. PAYMENTS AND FEES
Where a Business enables online payment via a supported payment processor, that processor's own terms and fees apply to the transaction in addition to any Collectly subscription or usage fees. Collectly is not responsible for delays, reversals, chargebacks, or disputes arising from a payment processor's handling of a transaction.
6. ACCEPTABLE USE
You agree not to use the Platform to send fraudulent invoices, harass or spam Customers, upload unlawful or infringing content, or attempt to circumvent the Platform's security or rate limits. We may suspend or terminate accounts that violate this section.
7. INTELLECTUAL PROPERTY
The Platform, including its software, design, and branding, is owned by Fixia Limited and protected by applicable intellectual property laws. Businesses retain ownership of the Content they upload (logos, invoice data, customer records) and grant Collectly a limited license to store, process, and display that Content solely to provide the Platform's services.
8. TERMINATION
You may stop using the Platform at any time. We may suspend or terminate your access if you breach these Terms, pose a security or fraud risk, or if required by law. Upon termination, your right to use the Platform ceases immediately, though certain obligations (e.g. payment of outstanding fees) survive termination.
9. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Collectly and Fixia Limited shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss of revenue, profits, or data, arising from your use of the Platform. Our total liability for any claim shall not exceed the amount you paid to Collectly in the twelve (12) months preceding the claim.
10. DISCLAIMER OF WARRANTIES
The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
11. GOVERNING LAW
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of Nigeria.
12. CHANGES TO THESE TERMS
We may update these Terms from time to time. Continued use of the Platform after a change takes effect constitutes acceptance of the revised Terms. Material changes will be communicated through the Platform or by email.
